1. About these terms

These Terms & Conditions apply to services supplied by Business Growth Global. They should be read alongside any proposal, booking confirmation, programme information, invoice or other written agreement provided to you.

If there is a conflict between these Terms & Conditions and a specific written agreement, the specific written agreement will take priority.

Business Growth Global provides business mentoring, executive coaching and business growth support. We are not a regulated financial adviser, investment adviser, law firm or accountancy practice. Information relating to legal, tax, financial, investment or regulatory matters is provided for general business discussion only. You should obtain appropriate professional advice where required.

3. Business use and consumer rights

Our mentoring and coaching services are primarily designed for people purchasing services wholly or mainly for business or professional purposes.

If you purchase a service as a consumer and consumer protection law applies to your agreement, nothing in these terms removes or restricts rights that cannot lawfully be excluded.

Where a statutory cancellation right applies to a distance or online contract, it will apply in accordance with the law. If you ask us to begin providing a service during a statutory cancellation period, you may be required to pay for services supplied before cancellation.

4. Our services

The exact service you receive will be described on the relevant programme page, proposal, booking confirmation or other written agreement.

Services may include one-to-one business mentoring, executive coaching, online mastermind sessions, accountability support, board or leadership mentoring, workshops, business growth assessments, frameworks, digital resources, workbooks and supporting materials.

The scope, frequency, duration and method of delivery may vary between programmes.

5. The nature of mentoring and coaching

Business mentoring and executive coaching are collaborative processes. We provide experience, challenge, structure, questioning, perspective and practical support to help you make better decisions.

You remain responsible for all decisions made within your business and for deciding whether, when and how to act on any discussion, idea or recommendation. We do not operate your business on your behalf and do not take responsibility for management decisions made by you, your directors, employees or advisers.

6. No guarantee of results

Business performance depends on many factors outside our control, including your decisions, implementation, market conditions, competition, economic circumstances, leadership, people and available resources.

We therefore do not guarantee any particular increase in revenue, profit, business valuation, investment return, sale value or other commercial result.

Examples, case studies and past client results illustrate what has happened in particular circumstances. They should not be interpreted as a promise that another client will achieve the same result.

7. Programme commitments

Where a programme is described as having a fixed commitment period, that commitment forms part of your agreement.

Programmes described as 12-month programmes are entered into for a 12-month term unless a different arrangement is expressly agreed in writing.

Payment by monthly instalments does not convert a fixed-term programme into a month-to-month agreement.

8. Fees and VAT

Fees will be those shown on the relevant programme page, proposal, booking confirmation or invoice at the time you enter into the agreement.

Unless expressly stated otherwise, prices are exclusive of VAT, VAT will be added where applicable, monthly fees are payable in advance, annual fees are payable in advance unless otherwise agreed, and any promotional or introductory price applies only on the terms stated with that offer.

We may change advertised prices from time to time. Price changes will not retrospectively alter a fixed fee already agreed for an existing engagement unless the agreement specifically allows this.

9. Payment

Invoices must be paid by the date stated on the invoice. Where payment becomes overdue, we reserve the right to charge any statutory interest and recovery costs available under applicable UK law.

We may suspend services while overdue amounts remain unpaid.

10. Monthly instalments

Where a fixed-term programme is paid by monthly instalments, the instalments are a payment arrangement for the full programme commitment.

Stopping attendance, failing to book sessions or deciding not to continue participating does not automatically cancel amounts due under the agreed fixed term.

Any exceptional early-release arrangement must be agreed in writing.

11. Annual payments

Where an annual payment option is offered, any discount associated with annual payment applies because the programme fee is paid in advance.

Unless otherwise stated in writing or required by law, an annual payment is not refundable simply because the client later chooses not to use some or all of the available sessions.

12. Circle Club

Circle Club is a facilitated online business mastermind rather than a one-to-one mentoring programme.

Members are expected to respect the confidentiality of other members, participate constructively, avoid disclosing another member’s confidential business information, treat other members professionally and recognise that different businesses may have competing or conflicting interests.

Business Growth Global may remove a member whose behaviour materially disrupts the group, breaches confidentiality or makes continued participation unreasonable.

13. Accountability support

Where accountability support is included, it is intended to help maintain momentum between mentoring sessions. It is not an unlimited on-demand advisory service.

Accountability may include brief written check-ins covering what you committed to, what you completed, what is blocking progress and what you will complete next.

Substantial strategic issues should normally be addressed during the appropriate mentoring or coaching session.

14. Session scheduling

Sessions are normally arranged by mutual agreement using the booking process provided. Clients are responsible for booking sessions in sufficient time during the programme period.

Unused sessions do not automatically accumulate beyond the agreed programme term unless this is expressly agreed.

15. Rescheduling and missed sessions

Where reasonably possible, please provide at least 48 hours’ notice if you need to reschedule a booked session.

A session cancelled or missed with less than 48 hours’ notice may be treated as used, unless there are exceptional circumstances.

If Business Growth Global needs to reschedule a session, an alternative date will be offered.

16. Client responsibilities

You agree to provide information that is reasonably accurate and complete, attend sessions prepared to participate, make your own business and personal decisions, seek specialist professional advice where appropriate, comply with applicable laws and regulations, and take responsibility for actions taken following mentoring or coaching discussions.

The effectiveness of mentoring or coaching depends significantly on your participation and implementation.

17. Confidentiality

Information disclosed during individual mentoring or coaching sessions will normally be treated as confidential.

We may disclose information where you authorise us to do so, disclosure is required by law, there is a serious and immediate concern relating to safety, or disclosure is reasonably necessary to obtain professional or legal advice relating to our obligations.

In Boardroom or group environments, we will clearly distinguish between individual confidential discussions and information intended to be shared with the group.

Participants in group programmes are expected to respect each other’s confidentiality, although Business Growth Global cannot guarantee the actions of independent participants.

18. Recording sessions

Sessions may not be audio-recorded or video-recorded by either party without prior agreement. If a recording is agreed, the purpose, storage and access arrangements should be made clear before recording begins.

19. Intellectual property

All original frameworks, training materials, workbooks, diagrams, exercises, programme content and other materials supplied by Business Growth Global remain our intellectual property unless expressly stated otherwise.

This includes, where applicable, the AEROPS, LPAD and 6Ms frameworks and supporting materials.

You may use materials supplied to you internally for your own business or personal development. You may not, without prior written permission, reproduce them commercially, sell or license them, publish them as your own, deliver them as training or consulting materials to third parties, or create derivative commercial products based substantially upon them.

20. Digital resources

Where digital products, downloads, workbooks or other digital resources are supplied, the licence is for the purchaser’s own use unless a broader licence is expressly stated.

Where consumer cancellation rights apply to digital content supplied immediately, we may ask you to consent to immediate supply and acknowledge any effect this has on your statutory cancellation rights.

21. Third-party services

We may use third-party services such as video conferencing, booking systems, payment providers, cloud services and other technology platforms.

We are not responsible for outages, interruptions or changes caused by third-party providers that are outside our reasonable control. Where practical, we will take reasonable steps to provide an alternative method of delivery.

22. Privacy and data protection

We process personal information in accordance with our Privacy Policy and use Complianz to manage cookie consent. Our Cookie Policy explains the use of cookies and similar technologies.

Privacy enquiries should be sent to privacy@businessgrowth.global.

23. Suspension or termination

We may suspend or terminate an engagement where there is persistent non-payment, abusive or threatening behaviour, a serious breach of confidentiality, unlawful activity connected with the engagement, a material breach of these terms, or conduct that makes continuation of the professional relationship unreasonable.

Where reasonably possible, we will explain the issue and allow an opportunity for it to be resolved before terminating the relationship.

24. Our liability

Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

Subject to those exceptions and any rights that cannot legally be excluded, Business Growth Global will not be responsible for indirect or consequential loss, loss of anticipated profits, loss of anticipated revenue, loss of business opportunity, loss caused by decisions made independently by the client, or loss arising from information supplied by the client that was inaccurate or incomplete.

For business clients, our total aggregate liability arising from an engagement will not exceed the total fees paid or payable by the client for the relevant service during the 12 months immediately preceding the event giving rise to the claim, unless applicable law requires otherwise.

25. Events outside our control

Neither party will be responsible for delay or failure caused by circumstances genuinely outside its reasonable control. This may include serious illness, infrastructure failure, telecommunications outages, extreme weather, government action or failure of essential third-party systems.

The affected party should notify the other as soon as reasonably practical.

26. Complaints

If you are dissatisfied with any aspect of a service, please raise the issue as early as possible so that we have an opportunity to address it.

Complaints should be sent to contact@businessgrowth.global. We will aim to acknowledge complaints promptly and deal with them fairly and professionally.

27. Changes to these terms

We may update these website Terms & Conditions from time to time.

The terms applying to an existing fixed-term engagement will normally be those accepted when the agreement was entered into, together with any changes subsequently agreed by both parties.

28. Severability

If any part of these terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

29. Entire agreement

These terms, together with the relevant proposal, programme description, invoice, booking confirmation and any other expressly agreed written terms, form the agreement between the parties.

Neither party relies on statements that are not contained within those documents, except where the law provides otherwise.

30. Governing law

Unless another jurisdiction is expressly agreed in writing, these terms and any dispute arising from them are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction, subject to any mandatory rights that apply to consumers or clients in another jurisdiction.
